Wolters Kluwer Agrees To Acquire Belgian Fintech Group; Not A Spread Mover

  • Wolters Kluwer acquires Isabel Group's accountancy portfolio (CodaBox, ClearFacts, Clearnox, Zoomit, Flowin) for EUR 325mn cash.
  • Acquisition expected to deliver 8%+ ROIC by year 5; near-term impact on earnings minimal. 2023 gross revenues of assets up of just EUR 34M though this was a 23% YoY increase.
  • Amount corresponds to just under 0.2x of FY23 EBITDA leverage which would take the ratio from 1.47x at FY23 to 1.65x against a longer run target of around 2.5x.
